BOARD OF DIRECTORS FREQUENTLY ASKED QUESTIONS

1. What is the role of the Board of Directors?

The Board of Directors provides governance and strategic oversight for the organization. Board members work together to ensure the organization is financially sound, well-governed, and fulfilling its mission. The Board sets strategic direction, approves budgets and policies, monitors organizational performance, and supports the Executive Director, while not being involved in day-to-day operations.

2. What responsibilities do individual Board members have?

As a Board member, you are expected to:

  • Act in the best interests of the organization and the communities it serves
  • Prepare for and attend Board and committee meetings and participate in informed discussion
  • Contribute your skills, experience, and perspective to Board decisions
  • Uphold confidentiality and declare any conflicts of interest
  • Support ethical governance and organizational accountability
3. How much time commitment is involved?

The time commitment includes:

  • Regular Board meetings – held online monthly at 10:00am on the last Monday of the month and typically last 1 to 1.5 hours. Board meetings are not held in July or August.
  • Preparation time to review reports and materials prior to meetings.
  • Occasional additional meetings, training sessions, luncheons or special events.
4. Are Board members compensated?

Board positions are volunteer roles. Board members are not paid for their service, but they gain valuable leadership experience, professional development, and the opportunity to make a meaningful community impact.

5. What skills or experience do we look for in Board members?

We welcome applications from individuals with a wide range of lived and professional experience. Skills and knowledge that are particularly valuable include:

  • Governance and leadership
  • Finance, accounting, or legal expertise
  • Human resources or organizational development
  • Fundraising, marketing, or communications
  • Community connections and advocacy
  • Lived experience relevant to our services
6. Do I need prior Board experience?

No. Prior Board experience is helpful but not required. New Board members receive orientation and ongoing learning opportunities to help them understand their role, responsibilities, and the organization’s work.

7. What support and training is provided to Board members?

Board members receive:

  • A structured orientation when joining the Board
  • Access to policies, governance documents, and Board resources
  • Ongoing governance education, training opportunities, and shared learning resources
  • Support from the Board Chair, fellow Directors, and senior leadership
8. Are there reasons someone may not be eligible to join the Board?

Yes. To meet legal and accountability requirements, there are some circumstances that may prevent someone from serving as a Board member. These can include, but are not limited to:

  • Conflicts of interest that cannot be appropriately managed (for example, being a current employee of the organization or having certain business relationships with it). Board members are required to disclose any real or perceived conflicts of interest and follow the organization’s Conflict of Interest policy to ensure transparency, integrity, and trust in Board decision-making.
  • Certain financial or fiduciary concerns, including bankruptcies or matters that could impact a person’s ability to fulfill fiduciary duties
  • Failure to meet screening or governance requirements, such as background checks, attestations, or required disclosures

Applicants are encouraged to disclose any potential concerns during the application process so they can be discussed openly and respectfully.

9. What is the relationship between the Board and staff?

The Board governs at a strategic level and delegates operational authority to the Executive Director. The Board has only one employee, the Executive Director. Board members do not supervise other staff or manage daily operations. This clear separation helps ensure effective leadership and accountability.
